Blackstone Buys FCH for Data Center Liquid Cooling

Blackstone has agreed to acquire Flow Control Holdings, a Cincinnati manufacturer whose hoses, fittings, valves, strainers, and stainless-steel fabrications help move coolant through high-density data-center systems. The agreement puts an industrial component supplier inside one of Blackstone's highest-conviction themes: the physical infrastructure required to build and operate artificial intelligence.

Funds affiliated with Blackstone Capital Partners and Blackstone Energy Transition Partners signed the definitive agreement with seller Audax Private Equity on September 10, 2026. Audax will retain a minority equity stake, and the parties expect the transaction to close in Q4 2026. The purchase price and other financial terms were not disclosed.

The strategic logic sits beneath the servers. AI infrastructure investment is usually measured in chips, megawatts, land, and data-center capacity, but every dense rack also creates a heat-management problem that has to be solved through pumps, hoses, valves, manifolds, materials, fabrication, and quality control. Blackstone is buying into the layer where thermal engineering becomes a manufacturing schedule.

What Blackstone Agreed to Buy

Flow Control Holdings, also known as FCH, supplies engineered sanitary and high-purity flow components for data-center cooling, food and beverage processing, and pharmaceutical manufacturing. The company says its data-cooling products are used by original equipment manufacturers and hyperscalers inside coolant distribution units, in-row manifolds, and secondary fluid networks.

FCH's data-cooling business combines specialized coolant hoses with precision-machined fittings, valves, strainers, and custom stainless-steel fabrications. Steel & O'Brien contributes machining, welding, polishing, and manifold fabrication, while Ace Sanitary supplies Flex-Rite ICE coolant hoses using materials including peroxide-cured EPDM, PTFE, and silicone with stainless-steel couplings.

Those products occupy a small physical footprint compared with a server hall, but their operating burden is large. A liquid-cooling loop has to move heat away from expensive compute hardware while maintaining reliable connections, material compatibility, consistent flow, and serviceability. The component supplier therefore sits inside both the technical design and the deployment schedule.

The Ownership Handoff From Audax to Blackstone

Audax invested in FCH in March 2022, when the company was described primarily as a supplier of sanitary flow components to food, beverage, and pharmaceutical producers. FCH says the following four years included investment in its team, new production and distribution facilities, and 10 acquisitions that expanded capabilities across those established markets and data-center cooling.

That build matters to the current transaction because Blackstone is not buying a single cooling product. It is acquiring a platform of brands, manufacturing skills, engineered components, and customer relationships that can serve several demanding end markets. Audax's decision to retain a minority stake keeps the seller exposed to the next stage while Blackstone takes control.

The release identifies Scott Kerns as FCH's CEO. The company's current leadership roster also includes Jim Disanto as CFO and Sal Iaccino as President of FCH Data Cooling. Reliable primary sources reviewed for this article do not disclose FCH's revenue, employee count, customer concentration, original founding date, or valuation.

Why Liquid Cooling Has Become an Investment Theme

Higher-performance computing systems concentrate more power and heat inside each rack. As that density rises, thermal management becomes part of the system architecture rather than a facility detail added after hardware selection. FCH supplies the physical path that lets cooling equipment move fluid through coolant distribution units, manifolds, hoses, and secondary networks.

Blackstone has already described this opportunity in wider terms. In its 2026 mid-year investment perspective, the firm said its AI infrastructure exposure extends beyond data centers into power, cooling, equipment, large language models, and neoclouds. It also reported a $165B global data-center platform, including facilities under construction, plus an additional future development pipeline of about $160B.

The FCH agreement moves that thesis into the industrial supply base. Blackstone is connecting capital allocated to data centers and energy transition with a manufacturer whose components help those facilities operate. Bilal Khan, a Senior Managing Director at Blackstone, and Mark Zhu, a Managing Director, said the firm plans to support FCH's capacity expansion and growing liquid-cooling demand.

What the Deal Could Change for FCH

The clearest disclosed priority is capacity. FCH has already been expanding through facilities and acquisitions, and Blackstone is presenting the next phase as a response to demand from OEMs and hyperscalers. A larger production base could help the company deliver more hoses, fittings, manifolds, and assemblies while supporting customers across multiple designs and deployment schedules.

Scale creates its own pressure. Data-center customers need suppliers to repeat quality across materials, fabrication processes, facilities, and acquired brands. FCH's opportunity depends on increasing output without making reliability, traceability, or responsiveness harder to manage. Blackstone has not disclosed a capacity target, investment budget, customer order book, or timetable for that expansion.

The transaction also places FCH alongside two Blackstone strategies. Blackstone Capital Partners brings the firm's private-equity platform, while Blackstone Energy Transition Partners focuses on control-oriented investments in energy-related businesses. Liquid cooling fits between those mandates because it supports compute density while affecting the power efficiency and thermal performance of data centers.

The Industrial Supply Chain Behind AI

The deal is another sign that AI investment is broadening beyond the companies that design chips or lease server capacity. The next stage requires power equipment, cooling systems, construction, networks, and manufacturing suppliers that can deliver physical infrastructure at scale. Each layer carries different lead times, materials, skills, and failure modes.

FCH brings experience from markets where sanitary flow, high-purity materials, and controlled processes already matter. Food, beverage, and pharmaceutical customers have long required reliable components and cleanable systems. Data-center liquid cooling gives that manufacturing knowledge a new destination, even though the exact requirements and volumes differ.

The agreement remains subject to closing, with completion expected in Q4 2026. Until then, the price, valuation, detailed regulatory path, and exact capital plan remain private. The public evidence supports a narrower conclusion: Blackstone sees enough strategic value in cooling components to buy control of FCH, while Audax sees enough remaining upside to stay invested.

That ownership structure leaves the operating question where it belongs, inside FCH's factories and customer programs. The company will be measured by whether more capacity can arrive with the same precision its hoses, fittings, valves, and manifolds must deliver when the coolant starts moving.
