Dronamics Plans GP-Act III Merger to Fund Black Swan Scale-Up

Freight, radar and mineral surveys make very different demands on an aircraft business. Dronamics is asking public investors to back a company pursuing all 3, through a proposed combination with GP-Act III Acquisition Corp. that would bring the Sofia-based unmanned-aircraft developer to Nasdaq.

The companies signed their agreement on November 3, 2026, with Dronamics publishing its current announcement on November 4. The transaction assigns Dronamics a $400M pre-money equity value and an estimated pro forma enterprise value of approximately $500M, while targeting about $100M in net cash proceeds at closing. Production and commercialization of the Black Swan platform sit behind that financing plan, alongside an expansion into the US and other markets.

How the proposed Dronamics merger would work

GP-Act III, which trades on Nasdaq as GPAT, is a special purpose acquisition company. Its proposed combination offers Dronamics a public-market structure and a route to additional capital, rather than an operating aircraft business to absorb it. Dronamics' US legal advisor Paul Hastings separately confirmed the definitive agreement and $400M pre-money equity value.

Under the business combination agreement described in GPAT's SEC filing, merger consideration comprises 40M common shares. Existing Dronamics shareholders are expected to roll over 100% of their equity. The proposed structure keeps those holders exposed to the aircraft company's development as it seeks a much larger pool of capital.

The company's transaction announcement targets approximately $100M in net proceeds from remaining SPAC trust cash and potential private investment in public equity, or PIPE financing. Shareholder redemptions and financing commitments affect that amount; the contractual minimum net cash condition is $25M. A valuation describes the transaction's agreed economics, while closing cash determines how much money becomes available for the work.

The companies expect completion in the first half of 2027, subject to shareholder and regulatory approvals and other conditions. For readers following Agility Robotics' completed Churchill XI combination, Dronamics is at an earlier point in the public-market process. Its agreement establishes a proposed path, with closing still ahead.

Black Swan connects aircraft engineering with freight operations

Brothers Svilen Rangelov and Konstantin Rangelov founded Dronamics in 2014. The November transaction presentation's current leadership page identifies Svilen Rangelov as founder and president, Konstantin Rangelov as founder and CTO, and Zornitsa Yanakieva as CEO. GP-Act III is led by CEO Antonio Bonchristiano, bringing capital-market sponsorship to a company whose work spans design, manufacturing and planned flight operations.

Dronamics' published Black Swan specifications describe a fixed-wing aircraft carrying up to 350 kg over distances of up to 2,500 km, with a 400-meter airstrip requirement. Those are company specifications, rather than a measure of an established commercial network. They explain the proposed middle-mile role: move useful freight between regional airfields, then connect that flight to the rest of a shipment's journey.

For the shipper, a cargo service includes everything around the aircraft. Freight has to reach the airfield, fit the available capacity, leave on a permitted flight and reach someone prepared to receive it. Dronamics' plan to operate aircraft and sell capacity means the company intends to carry that coordination responsibility into its business model.

Engineering relationships already extend beyond the airframe. In September 2025, Dronamics announced a Kawasaki Motors collaboration on aero piston engines, covering development, integration, testing and validation. That is a useful view of what scaling an aircraft platform involves: partners contribute technology that has to work within a complete flying system.

Different missions bring different commercial relationships

Black Swan's broader applications change who buys the aircraft's usefulness. A freight forwarder wants transport capacity; a surveying company wants a way to carry instruments and collect data. Defense sensing adds another customer, payload and operating environment to the same underlying engineering effort.

The distinction is visible in Asia Air Survey's April 2026 investment announcement. The Japanese geospatial business confirmed that it had invested in Dronamics and that Dronamics had announced a Japan subsidiary. The relationship brings an experienced user of airborne information into the company's capital and commercial network, although the inspected announcements disclose no investment amount.

Dronamics is also working with HENSOLDT on an unmanned airborne early-warning platform. Its relationship with Xcalibur Smart Mapping addresses airborne geophysics for natural-resource exploration. These development relationships make the multi-role proposition concrete, while requiring integration and commercialization work particular to each application.

The economics can benefit from engineering that serves several missions. The organizational task becomes more demanding, because freight operations, sensor integration and government procurement do not share one buying process. This is the operating interpretation of the partner mix, rather than a claim that all those markets have already turned into sales.

DevCuration's coverage of Shield AI's proposed Echodyne transaction follows another connection between aircraft systems and sensing technology. Dronamics approaches that relationship through platform development and partners, with its own production and customer work still unfolding.

Public-market financing reaches a business still commercializing

Dronamics' November investor presentation states that commercial revenue operations had not begun and that meaningful product or service revenue had not yet been generated. It also distinguishes nonbinding cargo arrangements from orders or backlog. Hellmann's cooperation agreement is binding, while committed route volumes and prices are to be agreed market by market as routes launch.

That qualification matters to production planning. Interest in aircraft gives management a direction for development; route commitments give it a more specific basis for allocating capacity. A factory serving freight operators and specialized missions has to learn how those different expressions of demand become work it can schedule.

Earlier financing has supported a long development period. Dronamics reported a $40M pre-Series A financing in February 2023, including Founders Factory, Speedinvest, SeedBlink, Eleven Capital and the Strategic Development Fund. Its June 2025 EIC update recorded an earlier €10M equity investment and selection for up to €30M more, with the latter still subject to a final investment decision following due diligence in that announcement. That selection should remain separate from capital confirmed as received.

Airspace integration is part of the same commercialization assignment. In its September 2026 account of the IRINA2 European aviation project, Dronamics described work on procedures for large remotely piloted aircraft to operate alongside crewed traffic. As the company pursues its financing, its engineers and operators are also helping define how a Black Swan flight can become a repeatable part of someone else's transport plan.

Frequently Asked Questions

How do the valuation and cash-proceeds figures differ?

The proposed transaction gives Dronamics a $400M pre-money equity value and an estimated pro forma enterprise value of approximately $500M. About $100M is the target for net cash proceeds at closing, subject to redemptions and PIPE commitments; the minimum net cash condition is $25M.

Does the Hellmann relationship establish a firm aircraft order backlog?

Hellmann has a binding cooperation agreement with Dronamics, but committed volumes and prices are agreed market by market as routes launch. The November transaction presentation separately describes wider cargo arrangements as nonbinding rather than orders or committed revenue.

Why does an unmanned cargo aircraft have surveying and defense applications?

Dronamics is developing Black Swan for multiple mission types, using the aircraft to carry freight or mission-specific sensing equipment. The partner mix includes HENSOLDT for airborne early warning and Asia Air Survey for geospatial applications, with each application requiring its own integration and commercialization work.

What still has to happen before the proposed combination closes?

The companies expect a first-half 2027 close, subject to shareholder and regulatory approvals and other closing conditions. Financing commitments, shareholder redemptions and the minimum net cash condition affect completion and the capital ultimately available.

Who is leading Dronamics during the proposed transaction?

The current leadership page in the November 2026 transaction presentation identifies Zornitsa Yanakieva as CEO, Svilen Rangelov as founder and president, and Konstantin Rangelov as founder and CTO. The current company transaction announcement also identifies Svilen Rangelov as president; older CEO descriptions should be read in their historical context.
