Whisper Aero Reports $46.3M in September Equity Filing

Noise becomes an airframe designer's problem as soon as a propulsion system becomes part of the aircraft. Whisper Aero, the Crossville, Tennessee company developing quieter electric thrust, is building around that relationship: the engine's commercial value depends on how it behaves inside somebody else's machine.

The company reported $46.3M in equity sold to 16 investors in a September 17, 2026 SEC filing. The first sale occurred on September 2, and the filing provides no round label or named investor syndicate. The disclosure adds a financing record to a business working across aviation, defense and commercial air-moving equipment, where quieter operation has different consequences for each buyer.

What the September financing establishes

Whisper Aero Inc. disclosed $46,317,349 in total equity sales, matching the offering amount, with nothing remaining to be sold. CEO Mark Moore signed the Form D, which lists the company's principal place of business at 199 Henry Street in Crossville. These are issuer-reported figures in a regulatory notice, rather than an SEC assessment of the business.

The date matters for anyone following the company's capital history. This is coverage of a September disclosure, and the source supplies no evidence of a separate November financing. Valuation, detailed use of proceeds and the participants behind the investor count remain undisclosed in the filing.

An earlier company announcement dated April 18, 2023 described a $32M Series A led by a syndicate including Menlo Ventures, EVE Atlas, Capricorn's Technology Impact Fund and Connor Capital. Those firms belong to that historical announcement; their participation in the September offering cannot be inferred. Adding financing announcements, regulatory sales figures and public research awards into one lifetime total would also require a reconciliation the available record does not provide.

Why the fan changes the aircraft conversation

Whisper Aero's technical explanation starts with a specialized electric ducted fan. A high blade count, an outer shroud supporting the blades and low tip speeds work together to change the sound the propulsion system produces. The company describes moving the blade-passage frequency into the ultrasonic range, while motor and broadband noise remain part of the acoustic signature.

That engineering makes the relationship with the aircraft important. Whisper describes installations that can distribute compact propulsors across an airframe, including configurations embedded in a wing. For a designer, propulsion selection therefore reaches into aerodynamics, power requirements and the arrangement of the vehicle. Buying the component means deciding how the surrounding aircraft should use it.

The company's current product lineup spans the eQ120, eQ160 and eQ250, addressing applications from commercial blowers and smaller drones to larger drone and fixed-wing integrations. Whisper also offers bespoke airframe work around manufacturability, performance and platform requirements. This is a component business with a substantial integration conversation attached to the sale, rather than a promise that one fan fits every mission.

Acoustic performance needs the same care in interpretation as financial performance. Whisper publishes comparative noise and efficiency claims, but the relevant installation, operating point and measurement conditions matter to a customer's decision. The useful commercial question is how the complete system behaves in the environment where the buyer intends to operate it.

The people and production work behind quieter thrust

Mark Moore and Ian Villa co-founded Whisper Aero, according to the company's timeline, in 2021. Moore is CEO and brings a career at NASA followed by Uber Elevate; Villa is COO and CPO, with experience at Uber Elevate and Northrop Grumman. Their public roles connect aircraft development with the product and operating choices needed to put propulsion into customers' hands.

Those choices extend into the factory. In February 2024, Whisper announced its selection of First Resonance's ION Factory OS as its manufacturing execution system. The announcement emphasized traceability, inspection checkpoints, as-built bills of materials and the records of material, process and procedure changes. It also described tracking serial numbers and signoffs after production.

For an aerospace customer, that record is part of the equipment's usefulness. An engineer evaluating a propulsion unit needs to understand what was built and what changed, especially as a development design becomes a repeatable product. The historical software selection offers a concrete view of the manufacturing responsibilities Whisper had begun preparing for; it supplies no present shipment count or factory output rate.

Tennessee's test ecosystem and the customer handoff

Public support has helped establish a separate testing track around Whisper's propulsion. In April 2025, the Tennessee Department of Economic and Community Development announced a $500K TNGO award for Tennessee Tech and Whisper Aero. The project involved an existing glider with 2 eQ250 propulsors and ground testing to support safe integration of engines, batteries and controllers, with university faculty and students participating.

Whisper's official company account has since described piloted Swift glider testing, reporting 3 flights totaling more than 130 minutes after 1,000 hours of propulsion life testing. Those are company-reported development milestones. They help explain the engineering path without establishing commercial fleet operations, customer revenue or aircraft certification.

Defense brings another set of operating requirements. Whisper's May 2025 logistics-aircraft announcement described JetFoil integration and US Air Force STRATFI and OECIF support for aircraft intended for contested logistics. The disclosed work links propulsion to payload, runway access and mission design, making the airframe partner's requirements central to the proposition.

The September equity disclosure sits alongside these longer development efforts, with its allocation still unspecified. As Whisper works with aircraft builders, the conversation travels from a fan's acoustic behavior through the test aircraft and into the configuration a customer can manufacture, support and put to work.

Frequently Asked Questions

Does the filing identify a named financing round?

Whisper Aero’s September 2026 filing identifies an equity offering but supplies no round label. A Series B or Series C designation would require separate evidence.

How does Whisper Aero’s propulsion fit into an aircraft?

Whisper Aero develops electric ducted fans and works on their integration with an airframe. Its technical materials describe distributed installations, including propulsors embedded in a wing, so the aircraft configuration influences the product’s usefulness.

Why is manufacturing traceability relevant to Whisper Aero?

Whisper’s 2024 manufacturing-system announcement emphasized as-built records, process changes, serial numbers and inspections. These records help a customer understand the unit it receives as a design moves through development and production.

How does the Tennessee Tech project relate to private funding?

The $500K TNGO award announced in April 2025 supported a university-company glider testing project. It is a separate public research award and should not be combined with the September equity sale as though both were one round.

What remains undisclosed about the September equity offering?

The filing does not name the investor syndicate or disclose a valuation or detailed allocation of proceeds. The investor count does not establish which historical backers participated.
