Thoma Bravo and Nemetschek Combine HCSS to Create Global Construction Software Leader

HCSS started in a Sugar Land bedroom in 1986, where Mike Rydin built HeavyBid with the kind of focus you only get when the rent depends on the code compiling. Fast forward a few decades and that same DNA is now getting wired into something much bigger. Nemetschek Group is pulling HCSS into its Build and Construct segment, with Thoma Bravo staying in the mix, holding roughly 28% while Nemetschek takes 72% and the driver’s seat. Different stage, same obsession with building things that actually work.

Let’s talk about what HCSS really does, because this is where it gets interesting. This is software that lives where concrete meets math. Estimating, bidding, fleet, field ops, the stuff that decides whether a contractor wins the job or watches it roll by. Their customers are out there securing 75% of contracts across 50 U.S. Department of Transportation markets and pushing out 40% more bids than the competition. That is not marketing fluff, that is operational leverage wearing steel toe boots.

Steve McGough (CEO) and Mark Stewart (CTO) are not just maintaining a legacy, they are scaling a system that has been compounding for nearly 40 years. You do not survive in heavy civil by being trendy. You survive by being right, over and over again, when millions are on the line and timelines do not care about your roadmap. That consistency is exactly what made HCSS attractive to Nemetschek, a company already playing across the AEC stack with Bluebeam, GoCanvas, and Nevaris. Now they are tightening the loop from preconstruction to field execution, and quietly stacking the kind of data advantage most companies only talk about.

Thoma Bravo deserves a nod here too. They stepped in back in 2021, didn’t try to reinvent the engine, just tuned it, expanded it, and let it run. That is the private equity play when it is done right. Less theater, more throughput.

The bigger takeaway sits beneath the headline. Vertical software wins when it goes deep, not wide. HCSS did not chase every construction segment. They locked in on heavy civil, learned the language of that world, and built tools that feel less like software and more like muscle memory. Now plug that into Nemetschek’s global distribution and AI ambitions, and you start to see where this goes.

Infrastructure is not sexy until it is the only thing that matters. Roads, bridges, energy, all the unglamorous systems that keep economies from stalling out. HCSS has been quietly sitting in that flow for decades. Now the volume just got turned up, and the room is about to hear it.
