Freshworks Agrees to Acquire Torii for AI Spend Governance

An employee asking Freshservice for application access is also asking the business to carry a cost. The service desk handles the request; understanding the software's ownership, usage and changing AI bill can require evidence from somewhere else. Freshworks is moving to bring those decisions closer together.

Freshworks announced a definitive agreement to acquire Torii on October 12, 2026, seeking to extend Freshservice into software management and AI spend governance. The acquisition is expected to close in Freshworks' fourth fiscal quarter of 2026, subject to customary closing conditions. The companies did not disclose financial terms in their announcements.

Torii brings software discovery, license and access context, and AI consumption visibility to that proposal. The strategic opportunity is to put more financial evidence beside the workflows where IT grants access, manages employee changes and responds to service requests. That would make the acquisition relevant to finance and security teams as well as the person running the help desk.

The acquisition brings software ownership into service operations

Freshworks CEO and President Dennis Woodside frames the agreement around giving IT and finance a shared view of applications, usage and cost. Freshservice already combines service management, operations and asset information. Torii would extend that operating context into software and AI spending, with capabilities the companies describe as supporting attribution, forecasting and limits.

There is a practical relationship underneath the product language. A service request establishes who needs a tool and why; usage information can show whether the access remains useful, while a contract or consumption record establishes the expense. Bringing those records together could make a renewal or access decision easier to explain across departments. This is the operating logic of the proposed combination, rather than a quantified savings promise.

Freshworks has bought discovery capabilities before. Its Device42 acquisition closed on June 6, 2024, adding infrastructure discovery and application dependency mapping to its IT asset-management ambitions. Torii addresses another part of the estate: the applications employees use and the variable consumption charges attached to AI.

That sequence gives the Torii agreement a place in Freshworks' broader service-operations strategy. Infrastructure dependencies help an IT team understand what an incident might affect; software ownership and spending help explain the obligations surrounding an application. Each adds context to decisions already passing through the service platform.

Torii's founders are moving a category into the daily workflow

Uri Haramati, Torii's CEO and cofounder, describes a company that started by trying to make the software estate visible as a whole. His account of the agreement connects that original ambition to the systems IT teams already use for approvals, access and offboarding. The proposed home matters because people encounter those systems during ordinary work.

Torii's current leadership page identifies Uri Nativ as CPO and Tal Bereznitskey as CTO, alongside Uri Haramati. The three cofounded Torii, which officially launched in 2017. The company identifies New York as its headquarters and describes engineering roots in Tel Aviv, giving the transaction a U.S. service-platform buyer and an enterprise-software business with Israeli engineering origins.

The funding history helps explain the company being acquired without pretending to price the sale. Torii's official timeline lists a $10M Series A in February 2021 led by Wing Venture Capital, followed by a $50M Series B in February 2022 led by Tiger Global Management. The company reported $65M in total funding at the Series B milestone.

Those rounds financed Torii's independent development. They do not establish acquisition consideration, investor proceeds or a return multiple. For operators following the deal, the useful continuity is the accumulated discovery and governance work, now being directed toward a service platform with its own established customer relationships.

AI consumption gives the software inventory a moving price

Torii's AI Management Platform announcement in May 2026 described tracking spending by user, team, project and model, identifying large token consumers and forecasting future expense. These are company-described capabilities. They establish what Torii is selling, while actual results depend on the customer's implementation and use.

Consumption pricing changes the conversation around permission. An approved application can keep generating expense as people use it, so ownership needs to travel with activity as well as the original purchasing decision. A finance reviewer benefits from knowing which team created a charge; an IT administrator benefits from connecting that account to access and lifecycle controls.

Torii's official company information describes SaaS management, identity governance and AI management sharing a discovery layer and data model. That breadth explains why the acquisition reaches beyond a spending dashboard. Usage, ownership, licenses and access all contribute to deciding whether an application should remain available and how its cost should be understood.

Freshworks brings a substantial operating business to that ambition. Its Q2 2026 results reported $237.4M in revenue, up 16% year over year, and $3.2M in GAAP net income. Those figures describe the acquirer for the quarter ended June 30; they provide scale context without revealing the economics of the Torii transaction.

Customers have continuity now and an integration to follow

Torii says it continues to operate independently between signing and closing. In Uri Haramati's announcement, current instances, integrations, workflows, support contacts and renewal terms remain unchanged. The company also says its product teams continue their existing roadmap and that more information about the combined work will follow after closing.

That gives customers a concrete present-tense instruction while leaving the future commercial arrangement open. The announcements do not establish a delivery date for the broader integrated product, revised packaging or new prices. Customers evaluating the agreement can distinguish the service they have today from the combination Freshworks and Torii intend to build.

For enterprise-software buyers, the deal puts decision location beside feature depth. Discovery becomes more useful when its findings can reach the person approving access, handling an employee departure or reviewing a renewal. Freshworks' proposal connects a governance capability to a platform already involved in those moments.

The next operating chapter runs through that connection. An application request carries a person, a purpose and an expense; keeping those three attached as software usage changes is the work Freshworks and Torii are preparing to put into the same daily flow.

Frequently Asked Questions

How could the Torii agreement change Freshservice workflows?

Freshworks intends to extend Freshservice into software management and AI spend governance through Torii. The proposed combination connects application, license, ownership and consumption evidence to existing IT service workflows; a broader integration delivery date has not been announced.

What changes for Torii customers before the acquisition closes?

Torii says it remains independent before closing and that current instances, integrations, workflows, support contacts and renewal terms are unchanged. Closing is expected in Freshworks’ fourth fiscal quarter of 2026, subject to customary conditions.

Why does AI consumption create a different governance problem from a software license?

A license establishes access, while consumption-based AI pricing creates expense as a tool is used. Torii describes tracking spend by users and teams and forecasting consumption, giving IT and finance context for ownership and budget decisions.

Do Torii’s historical funding rounds reveal the acquisition price?

No. Torii’s official timeline lists a $10M Series A in 2021 and a $50M Series B in 2022, with $65M total funding reported at the Series B milestone. The companies did not disclose financial terms of the acquisition in their announcements.
