Zaria Raises $5.2M Seed for Structured Finance Servicing

A lender using Zaria can keep its name on the borrower portal and its judgment in the loan terms. Behind that customer relationship sits another business handling payments, collateral and the operational work that continues after the credit decision. Zaria is raising money to expand that less visible part of lending.

Zaria Systems, Inc. announced a $5.2M Seed round led by Lightspeed Venture Partners on October 14, 2026, in a release datelined Jackson, Wyoming. Co-founder and CEO Emily Barron and co-founder and CTO Keith Dallara lead a company already providing servicing, backup servicing, collateral management and agency infrastructure for structured finance and digital asset-backed loans.

The financing supports team growth and technology expansion while Zaria pursues an OCC charter for the proposed Zaria National Trust Bank. Approval remains pending. The combination puts a specific question in front of credit-market participants: how much operating responsibility can they place with an independent provider as loans and collateral move across conventional and digital-asset markets?

What the $5.2M Seed Finances

Zaria's funding announcement describes an existing service business with an expansion agenda. Barron says the capital will grow the team, extend the technology and scale the infrastructure currently supporting structured finance and digital asset-backed lending. The release names Lightspeed Venture Partners as lead investor and does not disclose valuation, financing terms or a complete list of participating investors.

Lightspeed Fintech Partner Aaron Frank points to the team's structured-finance experience and technical execution. The company says its platform is live with Ledn, Maple, Galaxy, Kraken and Figure, supporting warehouse facilities, forward-flow loan sale programs and securitizations. Those are company-reported relationships across several functions, rather than a disclosed revenue figure or a count of customers buying an identical product.

For a buyer, the financing matters through the capacity it can support. Servicing a portfolio creates an ongoing assignment: payments must be administered, collateral tracked and the relevant parties kept informed as the loan changes. Zaria's expansion therefore follows the work of existing portfolios as well as the next institution considering its services. The announcement gives no hiring target, product-release calendar or forecast for how quickly that operating footprint will grow.

Credit Operations Have Several Owners

Zaria's service description combines loan administration with collateral agency. Its platform supports real-time monitoring, margin calls and liquidation workflows for securities, digital assets and other financial collateral. A white-label portal lets lenders establish terms, pricing and loan-to-value parameters while Zaria handles the operational infrastructure behind the borrower relationship.

That division of labor creates a commercial proposition beyond faster software. A lender retains the decisions that define its credit product and can buy specialized operating support around them. The supplier, in turn, has to work across the payments, records and counterparties that make those decisions executable. Its value depends on carrying the assignment through the life of a loan, including circumstances that nobody would choose for a product demonstration.

Kraken's June 25 announcement provides a concrete example. In its USDC-denominated warehouse facility with Maple, Kraken identifies Zaria as administrative agent. Kraken affiliates act as originator, seller and servicer, while Kraken Financial holds the collateral. The allocation matters because it shows independent administration occupying a defined role alongside lending and custody, with different institutions carrying different parts of the transaction.

Backup Servicing Starts Before a Transition

Zaria describes a backup-servicing system that continually ingests loan-level and collateral-level data through real-time API integrations. The company says it maintains a reconciled shadow record and can assume borrower-facing servicing and collateral-management operations within 24-48 hours of appointment. That timing is a company-described capability; the funding announcement supplies no independent service-performance audit.

The operating logic is worth separating from the speed claim. A backup provider needs information it can use when responsibility moves, so preparation begins while another provider is still running the portfolio. For loans secured by collateral that changes in value, a dated record can leave the successor trying to reconstruct a position at the same moment it needs to act on it. Continual reconciliation gives Zaria a specific job before any transition occurs.

Barron and Dallara's backgrounds help explain why the company puts that work at the center of its offering. Zaria's official biographies list Barron's experience at NYDIG, SoFi, Silicon Valley Bank, Barclays and Nomura, and Dallara's engineering and architecture experience at DINARA, Silicon Valley Bank, ChainRadar and AlphaPoint. The founders bring credit-market and financial-platform experience to a supplier whose customers have to coordinate across both kinds of expertise.

A Proposed Trust Bank Extends the Assignment

Zaria announced its charter application in August. The proposed Zaria National Trust Bank would be a special-purpose national bank limited to trust-company operations and related activities. The October funding release says approval would consolidate trustee and related services under a federally regulated counterparty. Zaria's current website explicitly states that it is not a bank and does not accept deposits or originate loans.

That proposal reaches beyond the interface a borrower sees. Corporate trustee services would add a different institutional relationship to the servicing and agency work Zaria already describes, with responsibility to transaction stakeholders extending across a deal's lifecycle. The charter decision belongs to the regulatory process; the financing announcement provides no approval date. The existing company can grow its current services while that process continues.

Zaria's place in credit infrastructure is taking shape through these arrangements: lenders keep their products, borrowers keep a recognizable counterparty, and another provider follows the records and collateral behind the relationship. The new capital gives Barron and Dallara resources to expand that provider's work. As more portfolios arrive, each one brings its own payment schedule, collateral position and set of people who may eventually need the shadow record to become the operating one.

Frequently Asked Questions

Why does independent administration matter in digital asset-backed lending?

Independent administration assigns a defined operational role alongside origination, servicing and custody. Kraken identifies Zaria as administrative agent in its warehouse facility with Maple, while Kraken affiliates service the loans and Kraken Financial holds the collateral.

How does Zaria prepare to replace a primary loan servicer?

Zaria says it continuously ingests loan and collateral data through real-time API integrations to maintain a reconciled shadow record. It describes a 24-48-hour transition after appointment, a company-stated capability rather than independently audited performance.

What would the proposed Zaria National Trust Bank change?

If its OCC charter is approved, Zaria plans to consolidate corporate trustee and related services under a federally regulated counterparty. Approval remains pending, and Zaria says it currently neither accepts deposits nor originates loans.

Which lending decisions stay with a lender using Zaria?

Zaria describes a white-label model in which the lender sets terms, pricing and loan-to-value parameters. Zaria supplies operational infrastructure for payments, collateral management and borrower administration behind the lender’s brand.

What will the Seed financing support, and what is undisclosed?

The $5.2M Seed round led by Lightspeed supports growing Zaria’s team, extending its technology and scaling existing services. The announcement does not disclose valuation, financing terms, a complete investor roster or an approval timeline for the proposed trust bank.
