Primrose Bio Raised $15M for Biomanufacturing Scale

Primrose Bio sold nearly $15M of equity in 2024 to expand a set of manufacturing technologies for protein and nucleic-acid medicines. The San Diego company announced 1315 Capital's investment on June 17, 2024 without naming the amount. A later SEC Form D reported $14,999,999 sold to two investors in an equity offering that could reach $22,999,995.

The financing matters because Primrose Bio is not developing one therapy. It is trying to improve the production systems behind many therapies, where yield, purity, process transfer, and scale can decide whether a promising molecule becomes an economically workable product. 1315 Capital backed that manufacturing layer while Primrose Bio prepared to expand three offerings across mRNA, protein production, and conjugate vaccines.

What Primrose Bio Financed

Primrose Bio said the proceeds would support continued development and commercial expansion of Prima RNApols, Pfenex Expression Technology, and PeliCRM197. Each product sits at a different part of the biologics-manufacturing stack, but the commercial argument is consistent: better production tools can reduce the friction between a scientific result and a repeatable process.

Prima RNApols are engineered RNA polymerase enzymes for mRNA manufacturing. In the financing announcement, Primrose Bio said the enzymes could improve yields by as much as 5x, remove double-stranded RNA, and improve cap incorporation compared with the standard T7 polymerase. Those figures are company-reported performance claims, not independent benchmarks, but they show why polymerase selection can affect both output and downstream cleanup.

Pfenex Expression Technology is a microbial expression platform built on Pseudomonas fluorescens for complex proteins. Primrose Bio reported 10x to 20x higher yields than E. coli, CHO, and yeast systems in its 2024 announcement. Its current product page says the platform supports six approved biologics, more than 25 global technology transfers, and more than 200 lead proteins generated. PeliCRM197 is a carrier protein used in conjugate-vaccine development and commercial products.

The $15M Requires Careful Accounting

Primrose Bio's release described a significant equity investment from 1315 Capital but did not publish a dollar amount, valuation, or formal round label. The SEC filing later supplied the transaction math: $14,999,999 sold, $22,999,995 offered, $7,999,996 remaining, and two investors already participating. The second investor was not identified in the filing.

That distinction prevents a common funding-story error. Primrose Bio had sold about $15M at filing time; it had not disclosed that the full $23M offering had closed. Secondary databases sometimes call the transaction a Series B, but the company announcement, Form D, and 1315 Capital portfolio page do not use that label. DevCuration therefore treats it as a growth-equity financing with no verified series designation.

The financing also came with a valuation reset. Ligand Pharmaceuticals reported that its ownership in Primrose Bio declined from 49.9% to 34.3% and that the round was priced below the valuation used when Primrose Bio was formed in September 2023. That does not erase the strategic case for new capital, but it shows that commercializing a manufacturing platform still has to survive ordinary financing discipline.

A Platform Built From Two Biotech Histories

Primrose Bio was established in 2023 by combining Primordial Genetics with Ligand's Pelican/Pfenex protein-expression assets and PeliCRM197 franchise. The combination brought together Primordial's genetic-engineering and RNA-polymerase work with a production platform already associated with marketed medicines.

At the time of the 1315 Capital investment, Primordial Genetics founder Helge Zieler was Primrose Bio's CEO. The company appointed Drew Burch as CEO in October 2025, citing his experience commercializing biomanufacturing technologies at Maravai LifeSciences and Thermo Fisher Scientific. Primrose Bio's current team page lists Zieler as an advisor, while 1315 Capital partner Matt Reber serves on the board.

The leadership transition fits the work the financing was meant to support. Scientific platforms have to become products that customers can evaluate, validate, transfer, and purchase repeatedly. That requires a commercial operating system around the underlying biology, not only stronger laboratory performance.

What Happened After the Financing

Primrose Bio has continued to develop RNA-polymerase products, work with vaccine and biopharma partners, and extend its platform beyond the 2024 financing announcement. In July 2026, the company announced a separate $2M NIH grant for synthetic noncoding sequence elements intended to improve and prolong protein expression from DNA- and RNA-based medicines. The 24-month award is not part of the 2024 equity total.

That later grant offers a useful read on the platform strategy. Primrose Bio is trying to own more of the manufacturing-enablement layer, from sequence design and RNA enzymes to protein-expression systems and vaccine inputs. The opportunity is broader than any single therapeutic program, but so is the execution burden. Each product has to prove that better laboratory performance can survive scale-up, quality requirements, technology transfer, and customer procurement.

1315 Capital's investment gave Primrose Bio more room to move those technologies into commercial use. The lasting value will be measured in the handoff from better yield to validated process, from validated process to approved product, and from approved product to repeatable economics for the companies building the medicines.
