EQT Agrees to Acquire Cleanaway at A$9.3B Enterprise Value

Samantha Hogg's board has weighed the investment and execution in Cleanaway's standalone plan against the cash available from a sale. Its recommendation of EQT's proposed takeover puts a price on transferring ownership while the company's work of improving its waste network continues.

EQT Infrastructure VI has agreed to acquire Cleanaway Waste Management Limited through a scheme of arrangement with an approximate A$9.3B enterprise valuation. The proposed consideration is A$3.095 cash per share, less further paid dividends. EQT's release is dated October 18, 2026; Cleanaway's Australian market announcement and executed agreement are dated October 19.

For operators and infrastructure investors, the useful question is how an acquisition-built business makes its existing assets more productive. Cleanaway has already set out that assignment in Blueprint 2030 2.0. EQT is proposing to become the owner alongside the management team carrying it out, subject to the approvals and other conditions still ahead of the transaction.

What EQT has agreed to buy

The legal bidder is Sedum Group Pty Ltd, an entity owned by funds managed, operated or advised by the EQT group. Under Cleanaway's ASX announcement and scheme agreement, it would acquire all ordinary shares in the listed waste manager, ASX: CWY. The enterprise valuation describes the business value including debt-related components; it is not A$9.3B of financing arriving in Cleanaway's bank account.

The consideration needs careful reading. Cleanaway's published 32.1% premium to the undisturbed August 12 closing price uses A$3.13 of total value, including the 3.5-cent final dividend paid on October 8. That dividend has already reduced the proposed cash price to A$3.095. Further permitted dividends would reduce the scheme cash payment again, so adding them to the full cash price would overstate the offer.

The board unanimously recommends the scheme in the absence of a superior proposal and subject to continuing independent-expert support. That recommendation frames a decision for shareholders rather than announcing a completed change of control. They can compare the offer with continued exposure to Cleanaway's standalone operating plan, including the spending and execution needed to deliver it. The filing also states that the scheme has no financing condition, while leaving the other stated approval conditions intact.

The operating company behind the valuation

Cleanaway's corporate history describes a business assembled through family enterprises, Brambles operations, Transpacific Industries and subsequent acquisitions. The current group is a combination of businesses and capabilities rather than a startup with a simple founder-and-funding-round chronology. Its Melbourne registered office belongs to a listed company serving councils, households and commercial and industrial customers. Cleanaway reports more than 9,700 people, over 350 locations across Australia, New Zealand and the Middle East, and more than 6,200 vehicles.

The company's business overview connects collection services to sorting, recycling, organics processing, treatment and disposal. That breadth matters commercially because a customer is buying a reliable destination for waste as well as its removal. The value of a collection relationship therefore reaches into the facilities, maintenance and operating decisions supporting the service after the truck leaves the customer's premises.

This is the ownership proposition embedded in the network. A buyer can acquire the legal interests together, while the operating teams still have to coordinate the physical work across the business. Cleanaway's own strategy points toward that responsibility: winning recurring customer work, improving productivity and using existing capacity more effectively. For a prospective owner, the opportunity and the continuing management assignment arrive in the same purchase.

Mark Schubert's plan already has financial evidence

Cleanaway reported FY26 net revenue of A$3,736.7M and underlying EBIT of A$470.2M, up 14.2%, in its August results. Statutory net profit fell 37.2% to A$98.5M, including significant and non-recurring items. Cleanaway also reported free cash flow of A$213.8M, up 63.7%, including a benefit from improved fleet payment terms. Those measures describe different parts of the financial picture; using the underlying earnings growth alone would give readers an incomplete account of the business being sold.

CEO and Managing Director Mark Schubert identified recurring customer growth, pricing, productivity and utilisation as FY27 priorities. The results also describe contributions from Contract Resources and Citywide Waste, alongside weaker performance in parts of the portfolio. This gives the acquisition story an operating starting point: growth has expanded the business, and management is working to improve the quality of the earnings that expansion produces.

The investment implication is specific to an asset-heavy service business. A larger network creates more opportunities to serve customers across collection and processing, while each facility still carries its own execution demands. Schubert's plan makes the existing network central to the next phase, which means the prospective owner's priorities will meet work already being done inside Cleanaway rather than begin with an empty strategic calendar.

Why this fits EQT Infrastructure VI

EQT Infrastructure VI's final close in March 2025 brought EUR21.5B in commitments to a strategy focused on essential-service infrastructure across Europe, North America and Asia Pacific. EQT identified resource efficiency and circularity among its investment themes. That mandate provides a clear connection to Cleanaway's waste services and recovery assets without requiring the transaction to be dressed up as a venture financing. Fund commitments and acquisition enterprise value measure different things; neither number discloses the equity cheque for this particular transaction.

In its Cleanaway announcement, EQT points to environmental-services investments including Urbaser, ReWorld, Encyclis and Arcwood. Managing Director Sam Franklin and Partner Tobias Küng describe combining that experience with Cleanaway's management and local operating knowledge. Their statements establish the intended ownership approach; they do not supply a quantified investment commitment or a guaranteed improvement in returns.

Shareholder, court and regulatory approvals remain conditions of implementation. The announced timetable points to a shareholder meeting before the end of February 2027 and implementation by the end of March, with dates subject to change. As those steps proceed, the company still has customer relationships to maintain and operating decisions to make. The potential ownership handoff is taking shape around a network whose daily work keeps moving through the approval calendar.

Frequently Asked Questions

What does the A$9.3B valuation represent?

The announced A$9.3B is approximate enterprise value, including debt-related components. It is not a new funding round or cash proceeds being invested directly into Cleanaway.

Why is the cash price A$3.095 while the premium uses A$3.13?

Cleanaway paid a 3.5-cent final dividend on October 8, 2026, reducing the proposed cash offer from A$3.13 to A$3.095. The advertised 32.1% premium uses the dividend-inclusive A$3.13 total value; further paid dividends would reduce the scheme cash consideration.

Why does Cleanaway fit an infrastructure investment strategy?

Cleanaway connects recurring waste collection services with recycling, treatment and disposal assets. EQT Infrastructure VI targets essential-service infrastructure and identifies resource efficiency and circularity among its investment themes.

What work would continue under a new owner?

Cleanaway has identified recurring customer growth, pricing, productivity and utilisation as priorities under Blueprint 2030 2.0. EQT says it intends to combine its sector experience with the existing management team; no guaranteed operating improvement is established by the announcement.

Which steps remain before the takeover can be implemented?

The transaction remains subject to shareholder, court and regulatory approvals, independent-expert support and other scheme conditions. The announced timetable anticipates implementation by the end of March 2027, with dates subject to change.
