Axogen Invests $7M in Trace Biosciences Nerve Imaging

Trace Biosciences has received a $7M strategic investment from Axogen, the public peripheral nerve repair company. The July 28 transaction gives Axogen a minority stake in Trace Biosciences and a limited right of first refusal while Trace advances its nerve-specific imaging technology through clinical development.

The investment is part of Trace Biosciences' Series A, not the disclosed final size of the round. Trace said additional investors are expected to participate, and the company plans to use the proceeds to support Phase II and Phase III clinical trials leading toward a New Drug Application.

The strategic logic is more interesting than the investment alone. Trace Biosciences is developing technology to help surgeons visualize nerves in real time, while Axogen has built a commercial business around repairing and restoring peripheral nerve function after injury. One company is focused on improving visibility at the moment surgical risk occurs. The other already operates in the market that addresses the consequences when nerves are damaged.

What Happened

Axogen's July 29 Form 10-Q disclosed that the company invested $7M in Trace Biosciences on July 28 using cash on hand. The filing describes Trace Biosciences as a privately held biotechnology company and confirms that Axogen acquired a minority ownership stake.

The companies' announcement states that the investment is part of Trace's Series A and that additional investors are expected to participate. Axogen also disclosed a limited right of first refusal, but neither company published its scope, Axogen's ownership percentage, Trace's valuation, or the intended final size of the round.

That distinction matters. A $7M strategic investment is confirmed. A completed $7M Series A is not. Treating those as equivalent would turn an SEC-supported fact into an assumption before the financing has concluded.

Why Nerve Visualization Matters

Trace Biosciences is developing Nerve Trace, a near-infrared fluorescence platform intended to make peripheral nerves visible during surgery, including nerves obscured by surrounding tissue. Its lead investigational agent, LGW16-03, also known as NerveTrace Dx, is designed to emit a fluorescent signal that can be detected by compatible surgical imaging systems.

The potential applications span two related clinical scenarios. Surgeons could use real-time visualization to identify and avoid nerves during a procedure, or they could use the signal to locate and evaluate nerves that have already been injured and may require repair. That is the product thesis rather than an established clinical outcome, and the distinction should remain clear while the technology is still in clinical development.

ClinicalTrials.gov lists the Phase I study as recruiting at Dartmouth-Hitchcock Medical Center in Lebanon, New Hampshire. The single-arm, open-label trial plans to enroll up to 38 adults undergoing open orthopedic surgery and will evaluate safety, tolerability, pharmacokinetics, dose selection, and nerve-to-background fluorescence contrast.

Why Axogen Fits the Round

Axogen already markets products across peripheral nerve repair and regeneration, including Avance and the Axoguard portfolio. Its second-quarter 2026 business update described the Trace investment as support for nerve-specific imaging development while disclosing the minority investment and limited right of first refusal alongside the company's broader strategic priorities.

That makes Axogen a domain-specific investor rather than a general source of capital. The company understands the surgeons, procedures, reimbursement dynamics, and hospital environments that define peripheral nerve care. That does not demonstrate that Trace's technology will succeed, but it does mean the investment comes from an organization evaluating the opportunity from within the clinical and commercial ecosystem.

The strategic alignment is evident without implying product integration. Trace is focused on helping surgeons visualize nerves. Axogen is focused on restoring nerve function when repair is required. If Trace produces compelling clinical evidence, nerve visualization could become an upstream complement to the repair market Axogen already serves.

From OHSU Spinout to Clinical Stage

Trace Biosciences was spun out of Oregon Health & Science University in 2019. Co-Founder and CEO Connor Barth, PhD, Co-Founder and CSO Summer Gibbs, PhD, and Co-Founder and CTO Lei Wang, PhD transformed research on nerve-targeted fluorescent dyes from the Gibbs Lab into a company focused on clinical translation.

The company's history includes earlier investments from SciFounders, Elevate Capital's Gap Fund, and ONAMI-related programs, along with non-dilutive support associated with federal and Oregon initiatives. Trace's team page states that Connor Barth has raised more than $9M, but it does not specify an as-of date or clarify whether that figure includes Axogen's investment. It therefore should not be combined with the newly disclosed $7M to create a reported funding total.

NerveTrace Dx received FDA clearance for its Investigational New Drug application in December 2025, and Trace publicly announced that milestone in January 2026. IND clearance authorized the company to begin human clinical studies. It did not authorize commercial use.

What the Investment Signals

The right strategic investor can provide an important form of market validation, particularly in a specialized healthcare category. Axogen's investment suggests it sees value in extending the nerve-care pathway from repair into visualization, while the limited right of first refusal preserves strategic flexibility if Trace's clinical program progresses successfully.

Strategic flexibility is not the same as a predetermined outcome. The disclosed terms do not establish an acquisition, exclusive partnership, licensing agreement, distribution arrangement, or joint development program. They establish a minority investment, a limited contractual right, and a financial relationship between two companies pursuing complementary approaches to peripheral nerve care.

The clinical sequence is equally important. Phase I must first generate safety, tolerability, pharmacokinetic, and imaging-performance data. Planned Phase II and Phase III studies, a future NDA, and broader surgical applications remain forward-looking until supported by completed studies, financing, and regulatory progress.

What to Watch Next

The first meaningful milestones will come from the ongoing Phase I study: patient enrollment, safety observations, dose selection, pharmacokinetics, and whether NerveTrace Dx delivers useful contrast between nerves and surrounding tissue. Those measurements are far more relevant to the company's current stage than broad claims about reducing complications or improving surgical outcomes.

The financing itself also leaves important questions unanswered. Investors should watch for the final size of the Series A, additional participants, any new commercial terms, and greater clarity around Axogen's limited right of first refusal. Operators should watch whether Trace can transform a compelling scientific concept into a repeatable workflow that fits the equipment, timing, and evidence standards of modern operating rooms.

Trace Biosciences has progressed from an OHSU laboratory spinout to an FDA-cleared IND and a recruiting first-in-human clinical study. Axogen's $7M investment does not complete that journey, but it provides capital for the next phase of clinical development while placing an experienced peripheral nerve company directly on Trace's cap table.
