Alpaca, Broadridge Add Governance to Tokenized Equities

Alpaca and Broadridge Financial Solutions announced on July 20, 2026 that Broadridge's shareholder-governance infrastructure will be integrated into Alpaca's Instant Tokenization Network. The integration is designed to extend proxy voting, investor communications, regulatory disclosures, secure messaging, and voting-entitlement reconciliation to eligible holders in supported tokenized-equity arrangements.

Alpaca provides the regulated brokerage infrastructure, custody, and clearing supporting the underlying securities. Broadridge Financial Solutions provides the communications and governance infrastructure that determines which investors are eligible to receive disclosures and vote while carrying those instructions through the shareholder process.

That distinction matters because moving a security onchain does not automatically transfer every shareholder right. This is tech news about market infrastructure. Tokenization can modernize distribution and settlement, but ownership records, disclosure delivery, corporate actions, and proxy eligibility still have to reconcile accurately across issuers, custodians, brokers, blockchain networks, and investors.

What the Alpaca and Broadridge Partnership Changes

The partnership connects Broadridge's governance platform with Alpaca's Instant Tokenization Network across supported traditional and tokenized-equity workflows. Eligible retail investors will be able to access supported shareholder meetings through ProxyVote.com, while institutional investors can incorporate tokenized-equity voting into existing governance and reporting processes.

That shared workflow matters far more than another front-end feature. Brokers, custodians, issuers, and investment managers all require a consistent view of shareholder communications, record dates, voting eligibility, and proxy instructions, even when assets exist across multiple intermediaries or blockchain networks. Broadridge's role is to reconcile that operational chain without requiring every participant to build a separate governance system for each tokenized structure.

The announcement does not suggest that every tokenized-equity holder automatically receives shareholder voting rights. Both companies consistently limit the scope to eligible investors, supported tokenized equities, and supported brokerage relationships, an important distinction because legal structures and investor rights can vary significantly across tokenized products.

Why Governance Is the Hard Part of Tokenized Equities

Tokenized markets often emphasize faster settlement, programmability, and broader distribution. The more difficult work begins after ownership changes hands, when systems must identify the beneficial owner, deliver required disclosures, process corporate actions, and determine whether voting instructions are valid.

The SEC's January 2026 staff statement on tokenized securities explains why those challenges cannot be treated as a purely technical problem. Issuer-sponsored, custodial, and synthetic tokenized structures can represent different ownership interests, legal rights, obligations, and counterparty exposures. A token may represent direct ownership of a security, an entitlement held through a custodian, or an entirely separate financial instrument linked to an underlying asset.

That makes governance infrastructure part of the product rather than administrative cleanup. Investors need to understand what they own, which rights accompany that ownership structure, who maintains the authoritative ownership record, and how disclosures and voting instructions ultimately reach the issuer. A cleaner wallet experience alone cannot answer those questions.

Alpaca Brings the Asset Rails, Broadridge Brings the Rights Rails

Alpaca began in 2015 as a database and machine-learning company before evolving into regulated brokerage infrastructure. The company's current corporate overview describes APIs and regulated operating entities supporting trading, clearing, custody, and investment products across both traditional and onchain markets. FINRA BrokerCheck lists Alpaca Securities LLC as a registered broker-dealer.

Alpaca reported in December 2025 that it custodied more than 94% of tokenized U.S. stocks and ETFs, representing more than $480M in assets under custody at that time. A subsequent July 2026 financing announcement reported more than $1.5B in underlying stock assets supporting tokenized equities. Those are company-reported, point-in-time figures, but they help explain why governance capabilities are being added to infrastructure already supporting meaningful transaction volume.

Broadridge approaches the partnership from the opposite direction. The company says its investor communications and shareholder engagement platform serves more than 200M retail and institutional investor accounts globally, while its broader infrastructure generates more than 7B investor communications annually and supports more than $15T in average daily securities trading. Its value in this partnership is not blockchain innovation itself but decades of experience managing proxy voting, disclosure delivery, and shareholder reconciliation within regulated financial markets.

Yoshi Yokokawa, Alpaca's Co-Founder and CEO, describes governance as a prerequisite for broader tokenization adoption rather than an optional feature. Doug DeSchutter, President of Broadridge's Investor Communication Solutions business, frames the partnership as extending familiar investor communications and proxy workflows to supported tokenized securities regardless of how those assets are represented.

What This Signals for Onchain Market Infrastructure

The partnership signals that tokenized-equity infrastructure is expanding beyond issuance and liquidity. The tech news cycle often focuses on token creation, redemption, custody, and distribution, but mature capital markets also require the complete lifecycle of ownership, including disclosures, recordkeeping, proxy voting, corporate actions, auditability, and a defensible chain of shareholder entitlement.

That evolution favors partnerships between modern tokenization platforms and incumbent infrastructure providers already operating within regulated capital markets. Alpaca does not need to recreate decades of shareholder-governance infrastructure, and Broadridge does not need to become a brokerage platform or tokenization provider. Each company extends its existing strengths into the operational gap between onchain asset representation and traditional shareholder administration.

The regulatory framework will ultimately determine how broadly that model can expand. Governance infrastructure may enable eligible investors to receive information and exercise shareholder rights, but it does not eliminate the legal distinctions between direct ownership, custodial entitlements, and synthetic financial exposure. The legal structure of each instrument remains the foundation for determining investor rights and protections.

What Investors and Operators Should Watch Next

The companies have not disclosed commercial terms, an implementation timeline, launch partners, or the first eligible shareholder meeting using the new governance infrastructure. The next meaningful evidence will be operational: which products receive the integration first, how entitlement reconciliation functions across intermediaries and blockchain networks, and whether retail and institutional investors actively adopt the governance tools.

Operators should also watch how issuers, custodians, brokers, and regulators manage disclosures, proxy voting, and corporate actions across different tokenization models. The important benchmark is no longer whether an equity security can be represented onchain. It is whether the information, accountability, governance, and enforceable shareholder rights surrounding that security can make the same transition.
